Summary for US Freight Professionals

Haulprint provides cloud software for freight brokerages to verify motor carriers, capture documents, and track dispatched shipments. We are not a motor carrier, broker, or government agency. Every load and carrier contract remains solely between the broker and carrier.

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between Haulprint Technologies Inc. (“Haulprint”, “we”, “us”, or “our”) and the brokerage, logistics entity, or commercial individual (“Customer”, “you”) accessing or using our platform, application, and associated services.

By registering for an account, initiating a 7-day free trial, sending an onboarding link, or accessing our APIs, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind such entity.

2. Software Platform Role & FMCSA / SAFER Disclaimer

Important FMCSA & Transportation Intermediary Notice

Haulprint Technologies Inc. is a technology provider. We are NOT a motor carrier, freight forwarder, freight broker, property broker, or shipper as defined under 49 U.S.C. § 13102 or FMCSA regulations. We do not tender freight, arrange transportation, dispatch equipment, or assume cargo liability.

Haulprint retrieves motor carrier operating authority, safety ratings, out-of-service orders, insurance filings, and census information from public United States Department of Transportation (USDOT) and Federal Motor Carrier Safety Administration (FMCSA) databases, including the Safety and Fitness Electronic Records (SAFER) system.

While Haulprint delivers automated risk scores and real-time alerts, public FMCSA data is provided “AS IS”. Customers remain solely responsible for conducting due diligence, underwriting carrier suitability, and complying with all applicable federal and state transportation regulations prior to tendering shipments.

3. 7-Day Free Trial Terms

Haulprint offers new brokerage customers a 7-day free trial to evaluate platform functionality:

  • No Credit Card Required: You may register and access your workspace without providing credit card or payment credentials.
  • Full Platform Capabilities: During the 7-day trial, you receive access to carrier onboarding, FMCSA SAFER verification, fraud risk scoring, live SMS driver tracking links, and document capture up to trial usage limits.
  • Trial Expiration: At the conclusion of the 7-day period, you may choose to activate a paid subscription (Starter, Growth, or Enterprise). If no paid subscription is selected, access to active tracking and verification tools will pause automatically without unexpected charges.
  • Data Retention: Carrier records, documents, and historical tracking events generated during your trial are preserved for thirty (30) days following trial conclusion to allow orderly account activation.

4. Permissible Purpose & Carrier Consent Representation

Customer represents and warrants that:

  • It has a legitimate commercial business purpose to query motor carrier safety data and dispatch tracking links.
  • It has obtained or will obtain the requisite carrier and driver consent prior to dispatching SMS tracking links or initiating onboarding workflows.
  • It will not use Haulprint data for discriminatory, unlawful, or consumer credit purposes under the Fair Credit Reporting Act (FCRA), as Haulprint is not a consumer reporting agency.

5. ESIGN Act & UETA Compliance

Electronic Signatures Legal Enforceability

Agreements executed on Haulprint comply with the Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act (UETA).

When a motor carrier or broker signs an onboarding packet, rate confirmation, or agreement through Haulprint:

  1. The signer explicitly consents to conduct business electronically.
  2. The system records a cryptographic audit trail containing the signer's verified IP address, device user agent, network timestamp (UTC), and document SHA-256 hash.
  3. Both parties receive access to a tamper-evident digital copy for permanent record retention.

6. Driver Tracking & Acceptable Use

Haulprint provides browser-based, load-centric GPS visibility designed to eliminate intrusive persistent driver tracking:

  • Active Haul Only: Geolocation pings are captured exclusively while a load is actively in transit and the driver keeps the browser tracking link open.
  • Zero Off-Duty Surveillance: Location capture ceases automatically upon delivery confirmation, unloading confirmation, or link expiration. No tracking occurs when the driver is off-duty.
  • No App Installation: Tracking functions through standard HTML5 Geolocation API within the mobile browser without permanent resident software installed on the driver's phone.
  • Prohibited Uses: Customers may not use the tracking features for stalkerware, off-duty surveillance, unlawful labor monitoring, or any purpose violating applicable privacy statutes.

7. Subscriptions, Usage & Billing

Paid subscriptions are billed on a recurring monthly or annual basis based on the selected tier. Usage beyond the tier allowance (e.g., extra active carriers or SMS tracking links) is billed at published per-unit rates. All fees are in United States Dollars (USD) and exclude applicable state and local sales taxes.

8. Limitation of Liability & Warranties

TO THE MAXIMUM EXTENT PERMITTED BY UNITED STATES LAW, HAULPRINT PROVIDES THE PLATFORM “AS IS” AND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL HAULPRINT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, CARGO LOSS, OR DELAY PENALTIES, ARISING FROM OR RELATED TO THE USE OF THE PLATFORM.

9. Governing Law & Arbitration

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware and the applicable federal laws of the United States, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through confidential, binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
